If Elon Musk’s proposed $1 trillion pay package is rejected, board chair Robyn Denholm has warned that Tesla could step down as CEO.
On Monday, the electric car company’s shareholders received a letter outlining the appeal. The proposed pay package, which is the largest of its kind, is scheduled to be approved by shareholders at Tesla’s November 6 annual meeting.

Governance experts and advocacy groups have questioned Tesla’s independence and oversight of Musk’s influence, as a result of its numerous complaints about not acting in shareholders’ best interests.
According to Denholm, the proposed performance-based plan was intended to entice Musk to stay in charge of Tesla for at least another seven and a half years.
Tesla’s success depends on Musk’s leadership, she said, and warned that the company could lose his “time, talent, and vision” without a strategy that encourages him. According to her, Musk’s position is crucial as Tesla strives to lead autonomous and artificial intelligence globally.
Musk would receive 12 tranches of stock options in exchange for ambitious goals, including an $8.5 trillion market capitalization and milestones in robotics and autonomous driving.
In addition to urging investors to re-elect three long-serving directors who have worked closely with him, Denholm’s letter describes the package as necessary to balance Musk’s incentives with shareholder value and long-term growth.
Tesla’s board has long been in the dark about its close relationship with Musk. His 2018 pay agreement was improperly awarded and negotiated by directors who were not entirely independent, according to a Delaware court ruling earlier this year.
Shareholders were urged to vote against the pay package by proxy firm Glass Lewis and Institutional Shareholder Services last week. Major institutional investors, including the passive funds with large stakes in Tesla, are frequently influenced by proxy advisers.

Vernon Kay has confessed he was ridiculed over a “horrendous” fashion blunder when he turned up at Strictly Come Dancing to support his wife, Tess Daly. The presenter, who has two daughters, Phoebe and Amber, with Tess, revealed details about a shopping expedition he enjoyed with youngest daughter, Amber, in Central London during his time off last week.
During a recent episode of his BBC Radio 2 programme (October 27), Vernon explained how he’d decided to seize the chance to purchase some fresh jeans – a choice that would result in “massive guffawing” at his expense.
Following a suggestion he attributed to Amber, who’s “down with the kids”, he said she recommended he buy some baggy jeans. So Vernon, heeding her guidance, tried some on, decided he fancied them, and eventually purchased a pair.
Vernon’s humorous description of the trousers made the comparison to an “80s pair of women’s culottes,” but he said he liked them anyway and that they are “very airy.”
He said, “I like them, so you can imagine with my legs sticking out from the end of a big napkin.” I then attended Strictly Come Dancing with Amber on Saturday afternoon.
And when I entered, I was met with a frenzied, massive guffawing; ‘What… What are you wearing, haha? Wow! And Amber says, “They’re really cool.” “

A Rivers State High Court sitting in Port Harcourt has discharged and acquitted 12 travellers accused of killing a female police officer, Inspector Christiana Erekere.

Erekere was attached to the Taabaa Police Division in Bori, Khana Local Government Area of the state.
Justice Augusta Chukwu, who delivered the judgment on Monday, ruled that the prosecution failed to prove beyond a reasonable doubt that the defendants were responsible for the officer’s death, which occurred on April 25, 2024, during a stop-and-search operation.
The defendants: Efeoghene Uwheraka (the groom), Joy Uwhereka, Shirley Wealth, Napoleon Uwhereka, Ejiro Ejogbamu, Moses Agege, Precious Iyota, Kikelomo Odusanya, Wealth Ojoh, Ighofose Oke, Blessing Ovie, and Emeka Joshua were on their way to Akwa Ibom State for a wedding when the incident occurred.
According to reports, the confrontation began when officers at the checkpoint questioned the validity of one of the vehicles ‘ documents, which allegedly led to an altercation resulting in Erekere’s death.
In her judgment, Justice Chukwu stated that the evidence presented by the six prosecution witnesses was contradictory and largely based on hearsay, as none of them could prove that the actions of the defendants led to the death of the deceased.
She further noted that an autopsy report revealed that the officer did not die from physical injuries but from an underlying health condition.
₦1m Compensation
The court consequently discharged and acquitted all 12 defendants, who had spent 18 months in custody, and awarded ₦1 million each as compensation for their unlawful detention.
Speaking after the ruling, counsel for the first and third defendants, Sunny Nwokoro, commended the judgment.
“Murder must be proven beyond a reasonable doubt, not based on emotions. The court agreed that the prosecution failed to establish a direct link between the defendants and the death”, Nwokoro said.
Another defence counsel, Robert Uye-Awaji, described the judgment as a triumph of justice.
“The court’s decision was not on technicalities but on the fundamental requirement of the law. There were clear doubts in the prosecution’s case, and the defendants deserved to be acquitted”, he added.
The Prosecution Disagrees
However, Prosecuting Counsel, Celestine Dickson, expressed disappointment, noting that the prosecution team would review the judgment with the police authorities before deciding on the next step.
“It is shocking that a group of travellers could attack a police officer, and yet the court found no grounds for conviction. We will review the judgment thoroughly”, he said.
Meanwhile, the ruling sparked mixed reactions in the courtroom as the families of the acquitted defendants erupted in jubilation, while the relatives of the deceased broke down in tears.
The late officer’s daughters, Rita and Fortune Erekere, rejected the court’s decision, insisting that their mother was murdered and had no underlying medical condition.
In the most recent high-level meeting between Russia’s president Vladimir Putin and North Korean Foreign Minister Choe Son Hui, which has bolstered ties with the former Ukrainian dictatorship.
Putin and Choe were greeted in the Kremlin on Monday by footage released by Russian state news agencies. Sergey Lavrov, the head of Russia’s foreign ministry, also made an appearance at the meeting.
